01. Overview

These Terms & Conditions (“Agreement”) govern your use of the services provided by Qubit Code IT Solutions UG (“Company”, “we”, “us”, or “our”). By using our website, digital products, or services, you agree to comply with this Agreement.

02. Description of Services

Qubit Code IT Solutions UG provides IT consulting, software and application development, mobile and web development, SaaS solutions, graphic design, UI/UX, SEO, and digital marketing services. Services may be delivered on a project basis, subscription basis, or as per specific agreements with clients.

2.1 Project Deliverables

All project deliverables, including software, applications, websites, graphics, and marketing assets, remain the property of Qubit Code IT Solutions UG until full payment is received, unless otherwise agreed in writing.

2.2 SaaS Services

SaaS services are provided on a subscription basis and include access to cloud-based software platforms. Subscription terms, service availability, and maintenance schedules will be communicated to clients.

03. Client Responsibilities

Clients must provide all necessary content, materials, and information required for the completion of services. This includes domain access, server credentials, branding assets, and any other data necessary for project execution.

Clients are responsible for ensuring that all content provided does not infringe on any third-party rights or violate applicable laws.

04. Intellectual Property

All intellectual property rights for software, code, designs, graphics, documentation, and deliverables created by Qubit Code IT Solutions UG remain with the Company until full payment is received. Upon full payment, ownership may be transferred as outlined in the project agreement.

Clients may not copy, distribute, or replicate any Company-owned software, designs, or proprietary materials without explicit written consent.

05. Hosting, Backups, and Data

If Qubit Code IT Solutions UG provides hosting or cloud services:

• Backups may be included based on the service plan, but the Company does not guarantee compatibility with third-party platforms.
• Clients are responsible for maintaining independent backups of all data, content, and databases.
• The Company is not liable for data loss, server downtime, or third-party hosting interruptions.

06. Service Limitations

Clients acknowledge that:

• Services may have limitations based on the chosen package or project scope.
• Additional storage, software, or customization may require an upgraded service plan or additional fees.
• Qubit Code IT Solutions UG reserves the right to suspend services if use exceeds agreed-upon limits or violates these Terms.

07. Prohibited Use

Clients may not use Company services for:

• Illegal activities or fraudulent purposes.
• Distribution of malware, viruses, or harmful scripts.
• Hosting or publishing pornographic, offensive, or illegal content.
• Unauthorized sharing of licensed third-party software or assets.

08. Confidentiality

Both parties agree to maintain the confidentiality of sensitive business, technical, and financial information shared during the course of the engagement.

09. Termination of Services

• Either party may terminate the service agreement according to the terms outlined in the project contract.
• Upon termination, clients must stop using Company-provided services, and any hosted data or deliverables may be removed unless otherwise specified.
• The Company is not responsible for migrating or transferring client content to other platforms unless explicitly agreed upon.

10. Warranty Disclaimer

Qubit Code IT Solutions UG provides services “as is” and does not guarantee uninterrupted service or error-free performance.

The Company is not liable for indirect, incidental, or consequential damages resulting from the use of our services.

11. Limitation of Liability

To the maximum extent permitted by law, Qubit Code IT Solutions UG shall not be liable for any damages arising from:

• Use or inability to use our services.
• Loss of profits, business, or data.
• Third-party claims related to client content.

12. Governing Law

This Agreement is governed by and construed in accordance with the laws of Germany, and any disputes shall be subject to the exclusive jurisdiction of the courts in Germany.

13. Changes to Terms

Qubit Code IT Solutions UG reserves the right to update these Terms & Conditions at any time. Updated versions will be posted on the website, and continued use of our services constitutes acceptance of the revised terms.
